Restructuring

Restructurings

We also support companies facing financial distress through restructuring processes. Drawing on our extensive advisory experience, we conduct due diligence reviews and comprehensive business audits to assess the company’s financial and operational position.

At Cendris Capital Partners, our financial restructuring advisory services are focused on achieving an optimal financing structure while minimizing the cost of debt. Our track record in financial restructurings is built on many years of experience in the financial and legal analysis of liabilities, extensive relationships with financial institutions, and strong negotiation capabilities.

We begin each restructuring process with a comprehensive financial and legal analysis. The financial analysis focuses primarily on the company’s creditworthiness and its future capacity to service debt. The legal analysis of the company undergoing restructuring focuses, in particular, on assessing the financial terms of existing credit facilities and the value and adequacy of collateral required by banks.

Following our analysis, we determine the optimal debt and equity structure for the company. As part of debt restructuring, we seek to renegotiate existing financing arrangements on more favorable terms. Improved financing conditions can be achieved by consolidating the company’s debt with a smaller number of banks or by refinancing with banks that the company has not previously worked with.

Another key factor in a successful restructuring is presenting lending banks with a detailed business plan outlining the company’s strategy and the basis for future debt repayment. An effective information process among banks serving corporate clients is also an important element, enabling us to conduct a comprehensive assessment of available financing options. The final stage of the financial restructuring process involves negotiating the terms of new financing facilities.

Where all available bank financing options have been exhausted, we often assist companies in identifying a financial partner among Private Equity funds. Such investors may be prepared to accept a higher level of risk where the company has the potential to generate a return on invested capital of approximately 25–30%.

We also provide advisory services for companies’ internal management needs, including the analysis and optimization of accounting and controlling processes supporting management reporting, as well as the implementation of new reporting standards designed to improve the effectiveness of business management.
