pre-IPO & IPO

Cendris Capital Partners (CCP) provides financial and transaction advisory services in capital raising and capital markets transactions — from private funding rounds, including private placements, through pre-IPO to IPO — with a particular focus on the NewConnect market and the Warsaw Stock Exchange Main Market.

We act as the client’s advisor, preparing the company and the transaction while coordinating the work of all parties involved in the process.

CCP’s services in this area include:

  • Preparing clients for conversion into a joint-stock company, where required by the intended transaction structure;
  • Preparing the company for a capital increase, including securing a strategic or financial investor and evaluating alternative financing options, as well as preparing the required documentation, business plan, information memorandum and valuation;
  • Preparing and coordinating private funding rounds and private placement processes, including investor materials, information packages and coordination with advisors and capital markets partners;
  • Post-transaction and/or post-listing support, including assistance with ongoing disclosure obligations and the implementation of corporate governance standards.

Going public is not an end in itself, but rather a stage — a significant step — in a company’s path towards dynamic growth and a strategic instrument for achieving its long-term objectives. For many companies, going public has been an important driver of success, providing significant benefits such as:

  • Access to relatively cost-effective capital to support business growth, particularly through new share issuances by already-listed companies;
  • Improved creditworthiness, potentially enabling the company to secure more cost-effective financing in the future;
  • Enhanced corporate credibility and greater confidence among investors, customers, suppliers and other business partners;
  • Increased market visibility and recognition of the company, its products and services;
  • Greater corporate transparency, strengthening the company’s reputation and improving management effectiveness;
  • Increased market value of the company.

More than 90% of companies are highly satisfied with their IPO experience and would choose to list on the Warsaw Stock Exchange again as a strategic path for further growth.
